Legal Notice for Use:

The entrepreneur concludes a variety of contracts in the course of his business activities. To provide guidance, the IHK Munich and Upper Bavaria offers sample contracts.

This contract form has been created with the utmost care but does not claim to be complete or accurate. It is intended as a checklist with formulation aids and should only serve as a suggestion for how the typical interests between the parties can be properly balanced. This does not absolve the user from carefully reviewing it independently.

For the sake of linguistic simplicity, gender-specific terms are omitted where gender-neutral formulations are not possible. In these cases, the male terms used also include the female forms.

The sample contract is only a suggestion for a possible arrangement. Many provisions are freely negotiable. The user can also choose other formulations. Before adopting the unchanged content, it must therefore be carefully considered in one's own interest whether and in which parts an adjustment to the specific situation and legal development is necessary.

The Chamber of Industry and Commerce naturally has no influence on this process and can therefore, by nature, assume no liability for the effects on the legal position of the parties. Liability for slight negligence is also generally excluded.

General Terms and Conditions

  1. Scope
    These General Terms and Conditions (GTC) apply to all deliveries from DemoShop e.K. (hereinafter referred to as DemoShop) to consumers.
    A consumer is any natural person who enters into a legal transaction for purposes that are predominantly not attributable to their commercial or self-employed professional activity.

  2. Contracting Parties
    The purchase contract is concluded with DemoShop e.K., Owner: Max Muster, Demo Street 1, 12345 Demo City, Commercial Register: Demo City District Court, HRA 12345.

  3. Conclusion of Contract

3.1. The presentation of products in the online shop does not constitute a legally binding offer, but only an invitation to place an order.

3.2. By clicking the [Buy/order with obligation to pay] button, you place a binding order for the goods listed on the order page. Your purchase contract is concluded when we accept your order with an order confirmation by email immediately after receiving your order.

  1. Right of Withdrawal

4.1. If you are a consumer (i.e., a natural person who places the order for a purpose that cannot be attributed to your commercial or self-employed professional activity), you have a statutory right of withdrawal.

4.2. If you, as a consumer, exercise your right of withdrawal under Section 4.1, you must bear the regular costs of returning the goods.

4.3. Otherwise, the provisions outlined in the following withdrawal policy apply to the right of withdrawal.

The customer waives the right of withdrawal upon purchasing the product, as it is a digital product that cannot be returned.

5.1. The prices listed on the product pages include statutory VAT and other price components.

6.1. Delivery is digital within 24 hours.

7.1. Payment can be made either via PayPal or credit card.

  1. Retention of Title
    The goods remain our property until full payment is made.

  2. Liability for Defects
    DemoShop is liable for defects in accordance with the applicable statutory provisions, especially Sections 434 ff. of the German Civil Code (BGB).

  3. Dispute Resolution
    The EU Commission has created an internet platform for online dispute resolution. The platform serves as a contact point for out-of-court resolution of disputes concerning contractual obligations arising from online purchase contracts. More information is available at the following link: http://ec.europa.eu/consumers/odr. We are willing or obliged, as applicable (indicate legal norm or contractual agreement), to participate in a dispute resolution procedure before a consumer arbitration board. The competent consumer arbitration board is: Universal Arbitration Board of the Center for Arbitration e.V., Straßburger Straße 8, 77694 Kehl am Rhein, www.verbraucher-schlichter.de. We will participate in a dispute resolution procedure before this board to resolve the aforementioned disputes.
